Q2 FY27 reflects our continued growth momentum and progress toward completing the Nagarro acquisition. During the quarter, we: • Delivered revenue of $487.6M, representing 7.8% Q-o-Q and 20.0% Y-o-Y growth • Recorded quarterly Total Contract Value of $633.5M and Annual Contract Value of $481.0M • Extended our sequential revenue growth streak to 26 quarters • Secured approximately 94.04% of Nagarro’s share capital and voting rights, excluding treasury shares Our results highlight the strength of our client relationships and the focused execution of our strategy. Galaxy Germany Holding SE, a wholly-owned direct subsidiary of Persistent, today announced the final results for its Voluntary Public Takeover Offer for all outstanding shares of Nagarro SE following expiry of the statutory additional acceptance period at midnight (CEST) on October 6, 2026. During the additional acceptance period, a further 1,335,114 Nagarro shares were tendered into the Offer. Together with the 7,568,145 Nagarro shares tendered during the initial acceptance period, a total of 8,903,259 Nagarro shares have now been tendered into the Offer, representing approximately 71.94%¹ of the share capital and voting rights of Nagarro. Combined with the approximately 22.10%¹ stake already secured by Persistent under the share purchase agreement with Lantano Beteiligungen GmbH ("Lantano"), Persistent has secured approximately 94.04%¹ of the share capital and voting rights of Nagarro. Galaxy Germany Holding SE, a wholly-owned direct subsidiary of Persistent, today announced the initial results for its Voluntary Public Takeover Offer for all outstanding shares of Nagarro SE. The acceptance period expired at midnight (CEST) on September 17, 2026. During the acceptance period, 7,568,145 Nagarro shares were tendered into the Offer. This represents approximately 61.15%¹ of the total share capital and voting rights of Nagarro. In addition, Persistent already secured a stake of approximately 22.10%¹ in Nagarro under a share purchase agreement with Lantano Beteiligungen GmbH (“Lantano”). Together, the tendered shares and the shares secured from Lantano represent approximately 83.25%¹ of the total share capital and voting rights of Nagarro. The minimum acceptance threshold of 50% plus one share required for the Offer to be completed has thus been exceeded. Following authorization by the German Federal Financial Supervisory Authority (“Bafin”), Galaxy Germany Holding SE, a wholly-owned direct subsidiary of Persistent, today published the offer document for its Voluntary Public Takeover Offer for all outstanding shares of Nagarro SE.
