$MMAT 🦋⚖️ BAILEYBRIDGE SALE PROPOSAL — REVISED TERMS
📅 Filed November 6, 2026
🏛️ In re Meta Materials Inc. — Chapter 7
District of Nevada • Case 24-50792-gs
📄 Docs. 3029–3032 and exhibits
⚠️ Not legal advice.
🔎 WHAT’S CHANGED?
After the earlier private-sale request was denied, Trustee Christina Lovato is proposing competitive bidding for the estate’s claims against Authentix and 24M Technologies.
BaileyBridge, a company in which Greg McCabe has a significant ownership interest, would set the opening offer.
🐎 “STALKING HORSE”—WHAT DOES THAT MEAN?
It’s the buyer whose offer establishes the starting point for other qualified bidders to beat.
Exhibit 3 is the term sheet summarizing BaileyBridge’s proposed deal. It does NOT mean BaileyBridge has already won. Court approval is still required.
💰 THE REVISED OFFER
• $250,000 cash to the estate.
• 30% of net recoveries, increased from 20%.
• At least $1 million allocated to fund litigation.
• At least $25,000 in collateral backing protection against covered litigation-related liabilities.
• No break-up fee or expense reimbursement.
“Net” means litigation fees and expenses are deducted before calculating the estate’s share.
⚖️ WHY SELL THE CLAIMS?
The Trustee says pursuing these cases could cost $1.5 million or more. Her approach would preserve estate cash while retaining part of any recovery.
BaileyBridge would fund and control the litigation. Other qualified buyers could submit better offers.
📋 COMPETING BIDDERS NEED MORE THAN AN OFFER
The proposed requirements include a $315,000 minimum deposit, qualified lawyers, at least $1 million available for litigation, and sworn independence and good-faith commitments.
👀 ONE PROVISION TO WATCH
The term sheet requires Trustee consent AND court approval for settlements. Assignment §7.2 instead describes Trustee consultation and court approval. That wording should be reconciled so settlement authority is clear.
🗓️ DECEMBER 9—GROUNDHOG DAY FOR MMAT & MMTLP SHAREHOLDERS 🐾
At 1:30 p.m. Pacific / 4:30 p.m. Eastern, via Zoom, Judge Spraker is scheduled to consider:
⚖️ The BaileyBridge sale motion involving Authentix and 24M.
💼 Fee applications for Hartman & Hartman, Schneider Wallace, SBW Law Group and Excelsis Accounting Group.
These are separate matters within the MMAT bankruptcy.
📌 Sale objections: November 25.
📌 Proposed auction, if needed: December 17.
📌 Bid deadline: Still TBD.
🦋 FOR SHAREHOLDERS
The revised offer gives the estate a larger potential share while another party funds the lawsuits. But the 30% belongs to the bankruptcy estate—these filings do not establish a shareholder payout or payment date.

MMTLP: "An American Travesty" -@JDVance
What started out as ~65K investors from the 2021 merger has grown to ~124K American families since our Preferred Share (Special) Dividends were made tradeable against the wishes of our CEOs; but more importantly, us, the investors.
Many of which are Veterans (active-duty & disabled) and Retirees whose earning years are behind them.
This happened under the Democrats--Biden's rogue, anti-MAGA SEC Chair, Gary Gensler's watch. This is a clear-cut case of Regulatory Capture; Regulators protecting their industry members at the expense of regular investors.
We defi itely had some traction with Congress in the past but it ultimately lost steam as time has passed, especially when their donors are laregly these institutions that defrauded us. I am not saying that there aren't good people in Congress who aren't helping still, but the swamp is thick and well... swampy.
Media has been our best and most consistent advocates to date. This video is proof of that. There are too many to name, but they know who they are. THANK YOU ALL! 🙏💛
This story is a slam dunk for @POTUS to sweep the House and Senate on Tuesday.
Please drop the hammer, sir, and help the Veterans and Retirees who are caught up in this nightmare called the MMTLP fiasco.
What happened to us affects every single American that has investments--we just caught the crooks with their hand in the cookie jar. MMTLP is a crime scene frozen in time and the time to open the books is now, Mr. President @realDonaldTrump!

Directly after the first MMTLP Corporate Action, and even after the revision, brokerages were communicating to MMTLP holders that they'd have until the 12/12/22 trading day to decide whether to hold or sell MMTLP.
These messages don't go out without FINRA having knowledge of their content.
So isn't it peculiar that the revision came suddenly and seemingly without time to explain the purpose?
Speak up at any time! @Fidelity @CharlesSchwab @Trading212

MMTLP investors made their trading decisions based on the first Corporate Action which was posted for a full 46.3 hours.
The 12/8/22 revision was only live for 2 hours and 48 minutes before trading in MMTLP ended forever.
Even if every holder knew the revision took place the moment it did (which they didn't), how is less than 3 hours a reasonable amount of time to make a financial decision that will potentially impact you for the next 4 years?
This was not investor protection Market integrity! @SECGov @TheJusticeDept

This is why the @SECGov will meet with FIF but not Next Bridge Hydrocarbons, they show who they're really here to protect.

No disrespect
You were center stage
And you did everything possible NOT to talk about our situation or bring it to light.
I will never understand that.
You had the president talking about you and you could have "exposed" it.
So I'm confused at you be confused
