Now on my way back from great times at Bitcoin Amsterdam. The mood among bitcoins right now is great. Price is just noise. Build and flourish. It’s also interesting to see so much tradfi speaking at the event. We truly have manage to execute our ”regulatory capture” that DeRose and Junseth dreamed about back in the day. Bitcoin can only win. I truly cannot see any other outcome than that.

Update on BTC AB (@BitcoinTCAB, BTC.se). I wanted to share a few thoughts on our proposed Class A Preference Share. As you may have heard we have announced the Nordic’s first bitcoin-backed Class A Preference Share, subject to EGM approval. We plan a directed issue to institutional and other professional investors in Q4 2025, followed by a rights issue to all shareholders and a planned Spotlight listing during 2026. Indicative initial size 10 to 15 percent of the balance sheet, implying roughly 7.5 to 10x over-collateralization with a highly liquid asset. Target dividend 10 percent per year, paid monthly (SEK 12.00 per year per share, payable monthly) with an initial subscription price of SEK 120 and redemption price of SEK 120 per share. Certain board members and I have expressed interest to invest up to SEK 10 million in aggregate. We have been inspired by @Strategy and @saylor with their U.S. preferred program, which has shown strong investor interest and significant scale. Their multi-series approach illustrates how preferreds can broaden access to bitcoin treasury exposure for different investor needs. For BTC AB, the preference share is designed to support sustainable growth in bitcoin per share over time and bring capital onto the balance sheet without drawing on debt. In short, low risk with good upside for both share class owners. With the preference share, we serve two different investor profiles. Investors seeking bitcoin exposure, including those in trackers (ETPs, ETFs, ETCs, ETNs), can rotate into our listed Class B share to pursue more bitcoin per share over time instead of paying ongoing tracker fees. Income-oriented investors who prioritize an annual cash yield get a monthly payer in public markets. In short, we package bitcoin’s volatility for tradfi or offer a return profile measured in bitcoin for bitcoiners, two strong options for different types of investors. Dividend distributions on the Class A Preference Shares can be supported in several ways: premiums from future directed issues, issuance of convertible debt, secured borrowing against the Company’s BTC holdings, issuance of additional preference shares, yield earned on the Company’s assets, or, if necessary, sales of a portion of our bitcoin. In a stress scenario, dividends may be deferred; unpaid amounts would accrue and be paid when conditions allow. BTC AB (BTC.se) (@BitcoinTCAB) Update: This week was eventful as BTC AB expanded its treasury with a new 21 BTC interest-free convertible loan, the first tranche of a facility of up to 105 BTC. I finished the week by speaking at @btchelevent in Helsinki where I participated in a panel on treasury companies, and we also dove deep into other aspects that bitcoin has to offer. One notable development in bitcoin is a smoother way to secure private keys. Common ways to secure keys previously had been to either have a private key and split it up geographically, or to have a multisig setup. But! What is new is a smooth way to create keys that are not authorized to move your coins for a set period of time unless you have lost your own keys. This is quite an innovation since you can now for example have a private key for yourself and one that you give to a law firm. Previously you had to trust the lawyer to not spend your coins but now they technically cannot even if they tried. Only if a set period of time had passed AND you have not used your key during thet time can they sign for you on the blockchain. Bitcoin is moving forward ! One small, secure, backwards and forwards compatible innovation at a time ! BTC AB: BTC AB now holds approximately 187 BTC in custody. We now have an interest-free, BPS-protected BTC convertible, structured in up to five 21 BTC tranches totaling 105 BTC if all are converted. Tranche 1 is active with a strike of SEK 400 per B share. The conversion window opens 10 Sep 2025 and the instrument has a 6-month maturity; repayment is in BTC. If Tranche 1 converts and both parties agree, we proceed to Tranche 2. For potential future tranches, the framework targets conversion prices of SEK 450, 500, 550 and 600 per B share, indicating a progressively higher valuation trajectory. With this BTC convertible, we add another disciplined tool to our toolbox to grow the treasury and we will keep accumulating bitcoin while rolling out BPS-accretive strategies. We have also completed a directed share issuance on 15 Aug of approximately SEK 4 million at SEK 287 per B share, equal to the prior day’s closing price. TO1 update: The exercise price for the warrants of series TO1 will be announced before opening tomorrow. Exercise runs Mon 18–Fri 29 Aug. Each TO1 gives the right to subscribe 1 new B-share.
