在上次和马老师 @NM_DMZ 的 Space 以后，我们聊过很多次，加密货币交易所向传统股票的靠拢已经是阳谋了，最主要的还是投资者对于“空气”的信心完全不足了，而美股好歹还是有业绩支撑的。
而且交易所内部提供的理财工具我个人觉得也会进行转变，以前的 Staking 基本都是“空气产生空气”，无非就是让投资者锁住仓位不要去交易，来换取获得更多的币本位。
但是当一个 Token 投资者完全没有兴趣的时候，Staking 的意义也不大了，所以看上去现在币圈的理财很热闹，但基本都是传统行业的平行，或者是用空气做补贴。
我觉得以后很有可能会有生息的美股或者是短期美债，或者是美股+美债的收益形式来做理财，最近不是看到了，有部分美股都开始变成“日分红了”，而且本身就有部分的美股是用周分红的方式。
所以我觉得未来很有可能交易所会和合规的细分市场合作美股生息来替代 DeFi 的收入。

最近我一直在和很多小伙伴探讨，美股上链的优势在哪里，可能很多小伙伴都知道，我一概的理论都是纯粹的美股上链就是鸡肋，真正能带来用户并不是买正股，实际上用去中心化的方式买美股成交量挺低的。
真正能爆发的应该是三类：
第一类是美股的衍生品交易，比如加了杠杆的英伟达合约，这确实有市场需求，但这和合规就没有关系了，完全就是看市场的热度，但这种是目前需求最大的。
包括我自己做空 WTI 也是这样的方式，传统券商确实也能做空，但很难对于所有人都有杠杆，而没有杠杆的美股，在币圈的天花板有限。
第二类是可派息的美股，这种并不是股票本事的收益，就连 $MSTR 都搞了 $STRC 来做 11.5% 的派息，当然这种的 Token 化对我来说天花板也有限，因为本质就是想要低风险做多 Bitcoin 。
但如果是美股优质的可生息产品就完全不同，本身就是合规产品，受到监管，同时又能给出不错的派息和较为优秀的股票成长空间，比如去年我介绍过的 $SCHD
第三类就是合规的可交割的美股打新，很可惜到目前还很少看到，现在的打新很多都是 SPV 或者是 SPV 影像，本质都没有交割能力，但相信随着监管的到位，可能这样的机会会越来越多。

当纽约证券交易所（NYSE）正式宣布开发“用于交易与链上结算代币化证券的平台”，这件事的意义远远超过一次普通的金融科技升级。
它实际上宣告了一个时代的开始：
代币化证券，正式从“加密实验”，进入“全球主权级金融基础设施”。
过去，美股代币化更像是加密世界的边缘创新：
•由加密交易所主导
•面向非美国用户
•监管模糊
•股权属性经常被“弱化”或“金融合约化”
而这一次，是纽交所亲自下场。
而且不是“试水”，而是用一句话定调：
代币化股票 = 享有分红权 + 公司治理权 + 与传统证券完全等价的资产形式。
这不是“加密资产”，这是证券本体的数字化升级。

一、这意味着什么？
纽交所给出的平台描述非常清晰：
1.24/7 全天候交易
2.即时结算（On-chain settlement）
3.稳定币融资与清算
4.支持代币化股票 + 原生数字证券
5.股东权利完全等价
6.与 Pillar 撮合引擎、清算所体系深度融合
7.联合 BNY Mellon、花旗等银行推进代币化存款
这不是“加密金融”，这是华尔街版的全链上证券市场。
本质上，ICE 想做的是：
把交易、清算、托管、资金调拨、抵押物、保证金管理全部一次性链上化。
这一步一旦成功，意味着：
•美股交易时间将从 T+1 → 秒级
•清算系统从批处理 → 实时链上
•银行资金从“工作日系统” → 7×24小时
•全球资本市场的操作系统全面重构

二、对美股代币化几类玩家的直接冲击
我们可以把原来赛道玩家分成五类，现在纽交所入场，会对每一类形成完全不同的“命运分叉”。

① 合规真实代币化基础设施
代表：Securitize、tZERO、Polymath
这是被全面验证的一类玩家。
纽交所的模式，本质与他们完全一致：
•真实股票托管
•1:1 映射
•股权法律有效
•监管框架内发行
•ATS / Broker-Dealer / Clearing 深度嵌套
区别只是：
Securitize 是“区块链世界向华尔街靠拢”，
NYSE 是“华尔街自己把系统升级到区块链”。
未来它们的关系很可能是：
•纽交所：主权级基础设施
•Securitize：二级发行 / 私募市场 / 私有资产代币化
这是同一个赛道的两个层级，而不是竞争。

② xStocks / Backed Finance 模式
（链上股票代币生态）
这是最大受冲击的一类。
因为他们最大的优势是：
•链上原生
•可自由转移
•非美市场可交易
•比传统券商更灵活
但他们的最大短板也是：
•股权法律效力存在灰区
•不一定能在美国本土合规流通
•监管“宽容”而非“确认”
当纽交所提供：
完整股权 + 链上结算 + 全球主权背书
xStocks 的定位会迅速从：
“金融资产数字化”
降级为：
“非主权链上影子版本”。
未来更可能转向：
•DeFi 流动性层
•非美国地区市场
•合成资产生态
而不是主权级证券市场。

③ 加密交易所发行股票代币
代表：Kraken、Bybit、Gemini、Coinbase
这是战略必须重构的一类。
之前它们走的是：
用加密牌照 + 境外监管 + IOU 或托管结构，做股票代币。
而纽交所模式明确指出：
代币化股票必须回归证券法体系。
这意味着：
•交易所如果要继续做，只能：
•变成证券交易所
•或接入纽交所、纳斯达克的代币化基础设施
•否则就只能停留在“金融合约模拟层”
加密交易所的角色会被迫从：
“证券发行方”
转为：
“二级流量与交易分销商”。

④ Robinhood 类“金融合约代币化”
这是被直接宣判“非正统”的路线。
纽交所明确：
代币化股东享有分红权 + 治理权 + 与传统证券完全等价。
这直接否定了：
•价格锚定
•无股权
•无公司法权利
的代币模式。
Robinhood 这一类产品将被永久定性为：
衍生品，不是证券代币化。
市场层级直接被拉开。

⑤ 传统金融基础设施型玩家
代表：ICE + BNY + Citi
这是整个赛道最关键的变化：
代币化证券，不再是“资产创新”，而是“金融操作系统升级”。
从交易 → 清算 → 资金 → 抵押 → 保证金 → 资本形成
全部被一次性纳入链上。
这意味着未来真正的护城河不在“发多少 token”，而在：
•清算资格
•资金通道
•托管牌照
•市场结构嵌入能力

三、赛道正式分裂成两条路线
从今天开始，美股代币化赛道清晰分裂：
前者是“世界金融秩序升级”，
后者是“区块链金融实验”。
两条路不再竞争，而是层级完全不同。

纽交所入场之后，美股代币化不再是：
“Crypto 正在挑战华尔街”
而变成了：
“华尔街正在用区块链重写金融操作系统”。
