What a week, @SmallSat
Forty years ago, small satellites were a niche pursuit. This week they filled a convention center in Salt Lake City.
Thank you to everyone who connected with our team about our space and defense technology.
Next up - #WSBW26 @nvs_summits, September 14 to 17.

Almost. I will buy it for 75k only if the Mom gets a reverse mortgage. Then, one day, since the bank won’t take it, I would get title.

• American (GP-Friendly) waterfall: GPs receive carry BEFORE LPs receive their capital back. Allows GPs to receive carried interest on a deal-by-deal basis as profits are realized, without waiting for all LP investments to be returned.
• European (LP-Friendly) waterfall: GPs receive carried interest from investments by the fund AFTER limited partners are made whole. This style has been almost my entire practice.

If FTX knew accounting as well as Enron, they could have been bigger and likely would still be around today.
The reason Enron needed to use accounting and FTX didn't?

My buddy, Scott Moss, scaled his firm, Moss Construction, to over $3B in annual revenues from >$100M.
He credits @HarvardHBS 4 + 2 Strategy as one of the keys to his growth 🚀
The study delineated FOUR primary practices as essential for achieving this success:
1. A lucid, well-communicated strategy
2. A simple, easily conveyed structure
3. Consistent execution aligned with customer expectations
4. A robust link between strategy and culture
Furthermore, the study pointed out four secondary practices, of which at least TWO must be in play:
1. Exceptional leadership
2. A pool of top-tier talent
3. A dedication to fostering industry innovation
4. A knack for cultivating strong mergers and partnerships

My #1 rule of real estate investing:
Always buy with a margin of safety. I buy properties for no more than 80% of fair market value.
Having 20%+ equity from day 1 is a wealth builder, but more importantly, it provides a safety net to handle a down market.

My buddy left his cushy consulting job to build glamp sites 30-mins outside of major national parks.
Sets up 15-20 tents per site.
With 75% occupancy he recoups his investment in 10 days.
The next 6 months of the season is pure profit.
Needless to say, he is scaling quickly.

WSS: Bruce, I have executed an LOI to purchase a business for $6,400,000
I believe I’m the right buyer BUT my personal net worth is less than $100,000
Can I get an SBA loan to acquire this business?
So, what do you think ?

Most real estate investors pay far too much in property tax because they don’t properly allocate their purchase price.
We bought a $40,000,000 hotel but the real property was only worth $27,000,000.
The property tax is based on the smaller number.

Solid tax court case today - Schmerling v Comm.
• Taxpayer is a used car salesman
• Compensation is mainly W2
• A bonus program is paid via 1099
• Taxpayer used Sch. C to deduct mileage and other expenses against 1099 income
• IRS hit the brakes, arguing W2 and 1099 are same activity and denied Sch. C deductions
————
Interestingly, the IRS didn’t dispute the 1099 should be W2. But rather that deductions against the 1099 income aren’t a separate business and are unreimbursed employee expenses (nondeductible currently).
Effectively the car dealership saves the employer side of payroll taxes on the bonus payment and shifts it to the employee who can’t deduct expenses to offset it.

This is a free idea btw, go ahead and make a startup that does this. MVP is basically a weekend project.
I'd do it myself but, world's ending

Stop it! It’s not a loophole if it’s allowed in the tax code 😂 Also to people asking why do this - it’s more equitable if one partner has a ton more expenses - they aren’t taking cash from biz and is able to only offset their income - not all partners income.

This is actually a good question and hopefully something @realEstateTrent would be kind enough to address.

Real estate sponsors that specially allocate depreciation to themselves can get a bad rap.
But when done right, rather than being predatory it creates a win-win scenario.
